In addition, 1,384 shares of Common Stock reported on this Schedule 13G were held by a foundation, of which Mr. and Mrs. Holmes serve as trustees. In their capacities as trustees of such foundation, Mr. and Mrs. Holmes each have the power to direct the receipt of dividends from, and the proceeds from the sale of, these shares.
